These Purchase Terms & Conditions (these “Terms”) apply to the purchase and sale of products and services through the Nicole Hollis Collection website, located at https://nicoleholliscollection.com/ (the “Site”). These Terms are an integral part of the Website Terms of Use that apply generally to the use of our Site, and are subject to change by us without prior written notice at any time, in our sole discretion. The latest version of these Terms will be posted on this Site, and you should review these Terms before purchasing any product or services that are available through this Site. Your continued use of this Site after a posted change in these Terms will constitute your acceptance of and agreement to such changes.

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SITE IN ANY MANNER, INCLUDING, WITHOUT LIMITATION, BY SUBMITTED ANY ORDER FOR PRODUCTS OR SERVICES THROUGH THE SITE, YOU: (A) ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND BY SUCH OTHER TERMS, CONDITIONS, POLICIES, AND DOCUMENTS THAT MAY BE INCORPORATED HEREIN BY REFERENCE, INCLUDING, WITHOUT LIMITATION, THE NICOLE HOLLIS COLLECTION PRIVACY POLICY; (B) AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE (OR HAVE REACHED THE AGE OF MAJORITY IN THE JURISDICTION WHERE YOU RESIDE); AND (C) IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER ORGANIZATION, REPRESENT AND WARRANT THAT YOU HAVE THE ORGANIZATIONAL AND LEGAL AUTHORITY TO ACCEPT THESE TERMS ON SUCH COMPANY’S OR OTHER ORGANIZATION’S BEHALF AND TO BIND SUCH COMPANY OR ORGANIZATION. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SITE IN ANY MANNER.

THESE TERMS MAY REQUIRE THE USE OF LITIGATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS, IN ACCORDANCE WITH THE TERMS OF SECTION 10 (DISPUTE RESOLUTION) BELOW.

 

1. Product Information

All products are crafted by hand using natural materials. As such, variations in size, tone, texture, and finish are to be expected. These are not considered defects, but rather a reflection of the artisanal nature of the work.

We make every effort to display product colors and finishes accurately, but cannot guarantee that your screen’s display will precisely match the item’s actual appearance.

We reserve the right to limit the sales of our products to any person, geographic region, or jurisdiction on a case-by-case basis.

2. Orders & Availability

You agree that your order is an offer to buy, under these Terms, all products and services listed in your order. All orders must be accepted by us or we will not be obligated to sell the products or services to you. Orders are subject to acceptance and availability, and we may choose not to accept any order at our sole discretion. Without limiting the foregoing, we reserve the right to refuse or cancel any order for any reason, including for suspected fraud or unusual purchasing activity.

Product availability is not guaranteed and may be limited. We reserve the right to discontinue any product at any time without prior notice.


3. Pricing & Payment

All prices are listed in USD and are subject to change without notice. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and in your order confirmation email. We are not responsible for pricing, typographical, or other errors in any offer by us, and we reserve the right to cancel orders arising from such errors, whether or not the order has been confirmed and your credit card charged.

Payment must be made in full at the time of purchase using a credit card or other approved method of payment. By providing your credit card information or other payment method, you represent and warrant that (i) the credit card or other payment method information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card or other payment method for the purchase, (iii) charges incurred by you will be honored by your credit card company or other payment method provider, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any.


4. Shipping; Delivery; Risk of Loss

We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process. Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.


5. Returns & Damages

Due to the handmade nature of our collection, we do not accept returns based on design preferences or natural variations. Returns are accepted only in the case of items damaged in transit. Please refer to our full Return Policy for more details.


6. Privacy

You acknowledge and agree that information collected by us is subject to our Privacy Policy. By accessing or using the Site, including by placing any order through the Site, you consent to all actions we take with respect to your information in compliance with our Privacy Policy.


7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL NICOLE HOLLIS CORP., ITS AFFILIATES, OR EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS (COLLECTIVELY, THE “NICOLE HOLLIS PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE OR ANY PRODUCTS OR SERVICES AVAILABLE THROUGH THE SITE, INCLUDING, BUT NOT LIMITED TO, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF DATA, DAMAGE TO OR LOSS OF PROPERTY, OR PERSONAL INJURY OR DEATH, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE. IF, NOTWITHSTANDING THE PROVISIONS OF THIS SECTION, ANY NICOLE HOLLIS PARTY IS FOUND LIABLE FOR ANY LOSS OR DAMAGE UNDER ANY LEGAL THEORY RELATING IN ANY WAY TO THE SUBJECT MATTER OF THESE TERMS, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE NICOLE HOLLIS PARTIES TO YOU OR ANY THIRD PARTY EXCEED THE TOTAL AMOUNT, IF ANY, ACTUALLY PAID BY YOU FOR THE PRODUCTS OR SERVICE PURCHASED BY YOU THROUGH THE SITE AND TO WHICH THE CLAIM RELATES.


8. Goods Not for Resale or Export

You represent and warrant that you are buying products or services from the Site for your own personal or household use only, and not for resale or export. You agree to comply with all applicable laws and regulations of the various states and of the United States with respect to your use of any products or services purchased through the Site, including, without limitation, any applicable export control laws.


9. Governing Law

These Terms and any disputes arising out of or relating to them will be governed by the laws of the State of California, without regard to its conflict of law provisions.


10. Dispute Resolution

Please read this Section carefully.  It impacts the rights that you may otherwise have.  This “Dispute Resolution” section survives any expiration or earlier termination of these Terms.

Informal Dispute Resolution. As a condition precedent which must be satisfied prior to initiating any arbitration or other action against us, you agree to the following dispute resolution procedure: In the event of any controversy, claim, action or dispute arising out of or related to the Site, any product or service available therethrough, or the breach, enforcement, interpretation, or validity of these Terms ("Claim"), the party asserting the Claim must first try in good faith to settle such Claim by providing written notice, by first class or registered mail, to the other party describing the facts and circumstances (including any supporting documentation) of the Claim. The party asserting the Claim must allow the receiving party 30 days in which to respond to or settle the Claim.

For purposes of this Section, notices must be sent as follows:

  • If to Nicole Hollis Corp., Attn: Legal/Compliance, 1000 Brannan Street, Suite 503, San Francisco, CA 94103 with a copy emailed to Info@nicoleholliscollection.com.

  • If to you: to any address that you submit to us through your use of the Site.

 

Formal Dispute Resolution. To the extent you cannot resolve any Claim through the informal dispute resolution procedure set forth above, such Claim shall be resolved by and instituted exclusively in the federal courts of the United States, or the courts of the State of California, in each case located in San Francisco County, California. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Class Action and Jury Waiver. YOU AGREE THAT ANY PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. YOU HEREBY IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY.


11. Miscellaneous

We reserve the right to modify these Terms. Any changes to these Terms will be posted to the Site and take effect immediately upon publication. Your continued use of this Site after a posted change in these Terms will constitute your acceptance of and agreement to such changes. 

These Terms form a part of our Website Terms of Use. Any limitations or disclaimers set forth in these Terms are in addition to, and shall not serve to limit our rights or extend our liability or obligations under, the Website Terms of Use. 

You may not assign or transfer these Terms or any of your rights or obligations hereunder to any other person without our prior written consent. Any purported assignment in violation of this paragraph is void and of no effect. These Terms are freely assignable by us. These Terms shall be binding on the parties and their permitted successors and assigns. Except as otherwise set forth herein, a person who is not a party to these Terms has no right to benefit under or to enforce any term of these Terms. 

If any part or provision of these Terms is held by a court of competent jurisdiction to be invalid, unenforceable, or in conflict with the law, that part or provision shall be replaced with a provision which, as far as possible, accomplishes the original purpose of that part or provision, and the remainder of these Terms will continue in full force and effect. 

Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If we waive any breach of these Terms, such waiver will not constitute a waiver of any other breach. No waiver will be effective unless made in writing. 

Any provision of these Terms which, by its nature does or should survive termination of these Terms will so survive termination.
